Routewise OMS Terms of Service

These terms apply when you install or use Routewise OMS, the order routing app for Shopify, provided by ExactWhy Solutions Private Limited ("ExactWhy").

1. The agreement

By installing Routewise OMS on your Shopify store, you agree to these terms and to our Privacy Policy. If you install for a business, you confirm you can accept these terms for that business.

2. What Routewise OMS does

Routewise OMS decides which location (store, warehouse or 3PL) should fulfill each online order, based on the routing policy you set up. It shows the reason for each decision in your Shopify admin.

Routewise OMS changes how Shopify assigns fulfillment for orders. It does not replace Shopify, your payment provider or your shipping carrier.

3. Service provided as is

Routewise OMS is provided "as is" and "as available". We work hard to keep it reliable, but we do not promise it will run without errors, interruptions or delays. Shopify and other services that Routewise OMS depends on may also have outages. We are not responsible for those.

4. Your responsibilities

• You are responsible for your routing settings, rules, location limits and any test you run. You decide where your orders should ship from.
• You are responsible for checking important orders, especially during setup and after you change a policy.
• You are responsible for your store, your staff accounts and the people who have access to Routewise OMS.
• You must have the right to use any customer data you import or export from Routewise OMS.

Routewise OMS can suggest settings, but it cannot know every rule your business needs. Test changes with the simulator before you publish them.

5. No code on your storefront or checkout

Routewise OMS does not add any JavaScript, script tags, theme app embeds or other code to your storefront, your theme or your checkout. Routewise OMS does not change where a shopper is sent when they click checkout. Routewise OMS uses Shopify Functions, the Shopify admin and Shopify checkout UI extensions only.

We will not add storefront code without a separate written agreement with you and a new version of these terms.

6. Billing

• Routewise OMS is billed through Shopify, using Shopify managed pricing. Charges appear on your Shopify invoice.
• Plans, prices and any free trial are shown on the Shopify app page and in the app when you choose a plan.
• Shopify's terms apply to billing, refunds and cancellations. Refunds are handled through Shopify under its policies.
• We may change prices with notice. A price change takes effect at the start of the next billing period after the notice.
• If you uninstall Routewise OMS, billing stops. Shopify handles the cancellation.

7. Intellectual property

Routewise OMS, its software, design and content belong to ExactWhy. You keep your store data, your orders and your routing settings. You give us permission to process that data only to run Routewise OMS for you, as described in the Privacy Policy.

8. Acceptable use

You must not:

• use Routewise OMS to break Shopify's terms or any law,
• try to access another store's data,
• try to reverse engineer, copy or resell Routewise OMS,
• use Routewise OMS in a way that harms its stability or other merchants.

We may suspend access if you break these rules, and we will tell you why where we can.

9. Limitation of liability

To the fullest extent the law allows:

• We are not liable for lost profits, lost sales, lost data caused by you, or indirect or consequential losses.
• Our total liability for all claims relating to Routewise OMS is capped at the total fees you paid to us through Shopify in the 12 months before the claim.

Nothing in these terms limits liability that cannot be limited under the law that applies to you.

10. Termination

• You can stop using Routewise OMS at any time by uninstalling it from your Shopify admin.
• We can end the service with notice if we stop offering Routewise OMS.
• When you uninstall, Shopify sends us a notice. We then delete your store data as described in the Privacy Policy. Shopify may send the data deletion notice up to 48 hours after uninstall.
• Sections 7, 9, 11 and 12 continue after termination.

11. Changes to these terms

We may update these terms. For material changes, we will tell you by email to the store owner or in the app at least 30 days before they take effect, unless the change is needed for legal reasons. If you keep using Routewise OMS after the change takes effect, you accept the new terms.

12. Governing law and disputes

These terms are governed by the laws of India. Courts in Surat, Gujarat, India have exclusive jurisdiction, unless a different rule applies to you by law.
